These terms govern use of the SWAYO platform (swayo.co.za) by creators and brands. By creating an account you agree to them. SWAYO is currently in a pilot phase; features and these terms may change as the platform develops, and we will notify account holders of material changes.
What SWAYO is
SWAYO connects brands running creator programmes with independent content creators. Creators publish content on their own social media accounts in response to a brand's brief, and earn based on the performance of approved content — a rate per verified views, commission on attributed online sales, or both, as stated in the brief.
For creators
- You are an independent contractor, not an employee of SWAYO or of any brand. You are responsible for your own tax affairs.
- Content earns only after it is approved against the brief it was submitted to. Views are counted from verified sources; SWAYO may withhold or reverse earnings that come from artificial or fraudulent engagement.
- Earnings are subject to the brief's stated caps and the programme's budget. Approved earnings are paid to your nominated South African bank account on the platform's payout schedule.
- By submitting content to a programme, you grant the brand a licence to use that content for its advertising and marketing — including running it as a partnership or Spark ad from your handle where you have authorised that on the relevant platform. You keep ownership of your content.
- You must comply with the advertising disclosure rules of the platforms you post on, including marking branded content as such.
For brands
- You fund your own creator budget and set the rates, caps, and briefs for your programmes. Amounts owed to creators for approved, verified performance must be honoured on the platform's payout schedule.
- You are responsible for the accuracy and lawfulness of your briefs and of any claims your briefs ask creators to make.
- Approving a submission confirms it may represent your brand; rejecting it must happen within the review window stated in the programme.
Acceptable use
No fraudulent engagement (bought views, bots, engagement pods), no unlawful, misleading, or infringing content, and no attempts to circumvent the platform's tracking or payment systems. Breach may result in withheld earnings, removal from programmes, or account termination.
Liability
SWAYO provides the platform "as is" during the pilot. To the extent the law allows, SWAYO is not liable for indirect or consequential loss arising from use of the platform, from the acts of brands or creators, or from changes third-party platforms (such as Meta or TikTok) make to their services.
Governing law
These terms are governed by the laws of the Republic of South Africa.
